Moshav Estate Sale Signed but RMI Approval Is Pending: What Now?

Apartment sale contract, fountain pen and apartment keys on a lawyer's desk

If you have signed a sale agreement for a moshav agricultural holding and Israel Land Authority approval is delayed, identify what is holding up the application and compare that position with the contractual obligations and deadlines. The delay alone does not tell you whether you may postpone payment, hand over possession or cancel the transaction. Before taking such a step, review the rights documents, the authority’s requirements and the agreement between seller and buyer.

The Israel Land Authority is commonly referred to as RMI, from its Hebrew initials. The review proceeds along two tracks: advancing the application with RMI and managing the obligations between the parties. Supplying a missing document does not necessarily resolve a dispute over payment dates, and an agreed extension does not replace RMI approval. This is general information; choosing the appropriate step requires a review of the particular transaction.

Identify what is delaying RMI approval

An answer such as “the file is being processed” is insufficient when a contractual deadline is approaching. Ask the person handling the application for its file number, submission date, a copy of the application, the latest request for additional information and evidence that a response was delivered. This helps distinguish an application awaiting review from one that has been returned or requires further action before it can progress.

Under RMI’s official guidance on transferring agricultural rights, applicants must meet the terms of the agreement governing their rights, regularize unauthorized uses and address relevant debts and encumbrances. The practical question is which requirement remains outstanding in your file and who can complete it. The official guidance is in Hebrew.

If the request concerns a structure or use of the holding, establish precisely what must be regularized. If payment is required, identify the charge, its basis and the stated due date. Do not assume that every charge is a consent fee or that every amount can be paid out of the same remaining sale proceeds.

Check cooperative association approval separately from RMI approval

A moshav is an Israeli rural community whose agricultural holdings may involve a cooperative association as well as RMI. If you are told that “the moshav has already approved it,” ask to see the approval: who received it, which action it covers and what conditions it contains. Then check what remains outstanding in the RMI file. Do not assume that the association’s decision answers every request from RMI or that speaking to one body establishes completion with the other.

If the obstacle is association approval, see the guide on a cooperative association delaying transfer approval. This article focuses on the RMI application and a sale agreement already signed. For the wider process, see the stages of transferring rights in a moshav holding.

Build a timeline for the application and the agreement

On one page, record the signing date, payment and possession dates, the deadline for supplying approvals and any extensions already agreed. Alongside those dates, record when the application was filed, when additional information was requested, when responses were sent and when decisions were received. Attach the supporting record and identify who is responsible for each action.

The comparison might reveal that a request arrived weeks ago but has not been answered, or that a payment date was set independently of approval. These are different situations and require different assessments. Give the other party a factual update supported by documents instead of promising that approval will arrive “in the next few days.”

Review the next payment and handover of possession

Read the payment, possession, approval and security provisions together. Is payment tied only to a date, to a particular document or to completion of a stage? Does the agreement provide for money to be held in trust? What was agreed about debts and payments to RMI? If financing is involved, review the bank’s documents as well.

Do not decide to withhold payment simply because approval has not arrived. Handing over keys also does not, by itself, establish that the rights transfer is complete. Before changing how you perform the agreement, review its terms and the applicable rights arrangements, and obtain advice about the consequences for your relationship with the other party.

Hypothetical example: the buyer must pay the balance at the end of the month, but the seller has received a request for additional documents. First check whether that balance depends on approval, who undertook to supply the documents and what was agreed about possession. The same administrative request can have different implications under two different contracts.

What to address in an agreed extension

If both parties want to proceed, they can consider a written agreement governing the waiting period. Before signing, check whether the document changes only one date or also responsibility for costs, security arrangements and claims concerning what has already happened. A short statement that “the parties have no claims” deserves particular attention.

Check which deadlines change, who will complete each requirement and how updates will be provided. If money is to be held in trust, define the amount and the conditions for release. Also consider what happens if another request arrives or the new deadline passes without approval. An extension or trust arrangement does not guarantee RMI approval.

Do not leave the relationship between payment, possession and approval to later interpretation. Even where the parties cooperate, an ambiguous addendum can create a new dispute instead of resolving the existing one.

If RMI has issued an unclear request, seek a focused clarification: which document is missing, which holding or action it relates to and what is needed to advance the application. Keep a record of the enquiry and the response. There is no single processing time that can be promised for every file.

If the other party sends a formal warning, alleges breach or demands compensation, review the agreement and facts before responding. Distinguish between a delay in the authority’s decision and failure to perform an action a party undertook. Examine how the agreement deals with approval, including any condition precedent where relevant: a contractual condition requiring an event to occur. The delay alone does not establish the parties’ rights.

Obtain advice before giving notice of cancellation, setting off an amount, signing a waiver or changing payment or possession arrangements. The review should include correspondence and extensions already granted, as well as the original agreement.

Documents to prepare and the next step

Bring the sale agreement and all addenda, the rights confirmation and existing agreements with RMI, a copy of the application and evidence of submission, requests for additional information and payment, association approvals, financing documents and correspondence with the other party. State what has already been paid, who has possession of the holding and the nearest deadline requiring a decision.

When RMI approval is delayed, the first objective is a clear picture: what the obstacle is, who needs to act and which obligations now require attention. That picture provides the basis for considering additional documents, an enquiry to RMI or an agreed adjustment to the contract.

Frequently asked questions

Is cooperative association approval enough to complete the transfer?

Check what the association approved and what remains outstanding in the RMI file. Do not assume that the association’s decision meets every RMI requirement or establishes that the transfer is complete.

Can payment be postponed while RMI approval is delayed?

Review the conditions for payment and the agreed provisions on approvals, security and deadlines. The delay alone does not determine the answer; assess the contract and the consequences before postponing payment.

Can possession be handed over before approval arrives?

Review the transaction terms, the rights arrangements and the requirements applying to the holding before handover. Giving the buyer keys does not, by itself, establish completion of the rights transfer.

Does delayed RMI approval allow cancellation of the sale?

Review how the contract deals with approval, the reason for the delay, the obligations and correspondence, including extensions. Do not infer a right to cancel from the delay alone; obtain legal advice before giving cancellation notice.

What should be checked in an extension addendum?

Check the revised dates, responsibility for outstanding requirements and costs, and payment and trust arrangements. Also review any waiver of claims and what happens if another request arrives or the new deadline passes without approval.
