In most cases, it is best not to sign a memo before a lawyer has reviewed the document and the property. The title of the document does not determine on its own. A short page written in a meeting or in a WhatsApp message can also serve as evidence of a commitment if it includes material details and shows that the parties intended to call in the transaction.

Even when the intention is to document a principled price only, one must be careful about a wording that adds payment times, a delivery date, compensation or a statement that the parties have closed the transaction. The more detailed the document, the stronger the claim that a commitment has been made.

If a memory of things is already signed, it is incorrect to assume that it is meaningless and also not to assume that it is always binding. The exact text, correspondence, transaction details included in the document, the payment if made and the conduct of the parties after signing should be examined.
At the same time, the rights and risks of the property should be examined. If a problem is discovered, the documents will determine whether it is possible to demand a correction, negotiate a detailed agreement or examine an exit from the transaction.
Common Mistakes
A common mistake is to think that remembering things is always a mere statement of intent. Another mistake is to sign an intermediary text without checking who formulated it and what commitments it creates. A symbolic payment may also complicate the discussion if it is presented as an advance at the expense of the consideration.
